Vendor Service Agreement

This Vendor Service Agreement ("Agreement") is entered into by and between UnoTasker ("Company", "we", "our") and the individual or business entity registering as a Vendor on the UnoTasker Platform ("Vendor", "you").

By clicking "I Agree," registering, or providing services through the UnoTasker Platform ("Platform"), you acknowledge that you have read, understood, and agree to be legally bound by the terms of this Agreement.

1. Nature of Relationship

1.1 The Vendor acknowledges that they are engaged as an independent contractor and not an employee, agent, or representative of UnoTasker.

1.2 This Agreement does not create any employment, partnership, joint venture, or franchise relationship between the Vendor and the Company.

1.3 Vendors shall have no authority to bind UnoTasker to any contract or representation.

2. Eligibility and Self-Certification

2.1 The Vendor affirms that all information and documents submitted to UnoTasker during registration and verification (including KYC, ID proof, and address proof) are true, complete, and accurate.

2.2 The Vendor self-certifies that:

• They have no criminal record or pending criminal proceedings in India or abroad;
• They are legally eligible to provide the services offered; and
• They have obtained all necessary licenses or permits required to perform their work.

2.3 The Vendor agrees to immediately notify UnoTasker in writing if any criminal charge, conviction, or legal proceeding arises after onboarding.

3. Vendor Obligations

3.1 Vendors shall:

• Perform all services with due care, skill, punctuality, and professionalism.
• Maintain high standards of hygiene, behavior, and customer service.
• Use only genuine tools and materials where applicable.
• Not share, sell, or misuse user data obtained through the Platform.

3.2 Vendors must comply with all applicable labour, tax, and safety laws, and bear full responsibility for their own taxes, insurance, and statutory obligations.

4. Verification and Conduct

4.1 UnoTasker reserves the right to verify the authenticity of Vendor credentials at any time, including police verification or re-verification as necessary.

4.2 UnoTasker may suspend or permanently remove Vendors who fail verification, receive multiple complaints, or violate this Agreement or applicable laws.

5. Payments and Platform Fees

5.1 Vendors will receive payment directly from Users for completed services.

5.2 UnoTasker will charge a platform/service fee for each completed booking, which will be deducted automatically from the Vendor's PPI wallet or through other approved means.

5.3 Vendors must maintain sufficient wallet balance for deduction of applicable fees and taxes.

6. Cancellation, Disputes, and Refunds

6.1 Vendors are expected to honor all confirmed bookings. Cancellations without valid reason or repeated service failures may result in suspension or termination.

6.2 Disputes between Vendors and Users shall first be raised with UnoTasker's Grievance Redressal Officer for mediation before any legal action.

7. Confidentiality

7.1 Vendors shall treat all customer information, booking details, and business data obtained through UnoTasker as strictly confidential.

7.2 Disclosure of such information to third parties or use for personal benefit is strictly prohibited.

8. Indemnity

The Vendor agrees to indemnify and hold harmless UnoTasker, its directors, employees, and affiliates against any loss, claim, damage, or liability arising from:

• Negligence, misconduct, or breach of this Agreement;
• Misrepresentation of qualifications or background; or
• Injury or damage caused during service performance.

9. Termination

9.1 UnoTasker may terminate this Agreement and deactivate the Vendor's account immediately if:

• Any information provided is found false or misleading;
• The Vendor violates any clause of this Agreement or applicable law; or
• Required by any law enforcement or government authority.

9.2 Upon termination, any outstanding platform fees shall be settled from the Vendor's wallet or payable within seven (7) days.

10. Limitation of Liability

UnoTasker shall not be liable for any indirect, incidental, or consequential damages arising from Vendor's activities. Its total liability, if any, shall not exceed the total platform fees collected from the Vendor in the preceding thirty (30) days.

11. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of India, and all disputes shall be subject to the exclusive jurisdiction of the courts at Kolkata, West Bengal, India.

12. Acceptance

By registering as a Vendor or clicking "I Agree," you confirm that:

• You have read and understood this Agreement in full;
• You accept all obligations and conditions herein; and
• You certify that you have no criminal record as of the date of acceptance.
